An affiliate promotes individual courses and earns the commission each course offers, up to 50% of the sale, paid out of that course instructor's share. You join with one switch in Settings, by agreeing to this agreement and the Marketing Guidelines, and you promote honestly: you say you earn commission, you do not spam, and you do not pretend to be us. Either side can end it: you by the same switch, we by the steps in our enforcement policy, at once for fraud.
This summary is for orientation only. The sections below are the operative terms.
1. Scope and acceptance
This agreement is between you and ACADA L.L.C., a Tennessee limited liability company (ACADA, we), and covers your participation in the affiliate programme on acada.ac. You accept it when you join the programme, and again each time you keep your affiliate account open after a change to it (section 13). It sits on top of the Terms of Service. The Affiliate Marketing Guidelines, Community Guidelines and Acceptable Use Policy are part of this agreement; the figures in Affiliate Commission & Payouts are the figures this agreement refers to.
2. Definitions
- Your code means a code you hold in the programme, current or retired. Your link means a link to a course on acada.ac carrying one of your codes.
- A course programme means an affiliate programme a course's instructor has switched on, with the commission and any buyer discount they set.
- An attributed sale means a purchase of a course credited to you on the terms in Affiliate Commission & Payouts.
- Commission means the share of an attributed sale that this agreement pays you.
3. Eligibility
You can join if you are 18 or older and hold one account in your own name under the Account & Identity policy. There is no application and nothing to pay. Instructors and collaborators may join; section 6 says what they cannot earn on. Someone whose affiliate account we closed for fraud cannot rejoin.
4. Your link and codes
- Your codes. You start with a code we generate and can replace it with a code of your own, within the format and the limits in Affiliate Commission & Payouts. One code works on every course with a live programme; you do not hold a separate code per course. A code you retire keeps crediting you on links you already shared, and can never be claimed by anyone else.
- What a code may not be. Nothing that reads as coming from ACADA itself, or as an official, staff or support account, and nothing that is someone else's name or mark.
- The visitor decides. When someone opens your link, we ask before we remember the referral, as the Cookie Policy sets out. A visitor who declines is not referred, and you may not work around that.
5. What counts as an attributed sale
A sale is attributed to you when the buyer reached that course through your link, or entered your code at checkout, and bought it. Attribution is per course and per person, not per person alone: the same buyer may be attributed to you on one course and to somebody else on another, and both of you are paid.
Where more than one affiliate sent the same buyer to the same course, the sale belongs to whoever sent the visit that led to the purchase. Once a purchase is made, that attribution is fixed: a later click by anyone cannot move it, and every renewal of that enrolment keeps paying you. The details, including how long a click stays live, are in Affiliate Commission & Payouts.
Buyers see nothing different on ACADA. Where an instructor has funded a buyer discount, a buyer credited to you, by your link or your code, pays less on their first payment; otherwise they pay exactly what anyone else pays.
6. What you are paid
- The rate. Set by each course's instructor, above 0% and at most 50% of what the buyer actually pays, and shown in your affiliate dashboard before you promote the course. It applies to every charge on an attributed sale for as long as the buyer keeps paying: the first purchase, each renewal, the charge at the end of a free trial, an upgrade and a repurchase.
- Where it comes from. The instructor's share of the sale, not ours. An instructor chooses to fund a commission in order to be sold, and ACADA's share is the same whether a sale came through an affiliate or not.
- The rate is fixed at the sale. An instructor may change what their course offers, or switch its programme off, at any time. Neither moves money you have already earned, and renewals of a sale you already made keep paying the rate that applied when it was made.
- What earns nothing. Free enrolments, free trials until they are charged, bundles, courses with no live programme, and any purchase not attributed to you. An instructor earns no commission on their own courses, and a collaborator none on a course they work on.
- Refunds and chargebacks. A commission clears after a hold, set out in Affiliate Commission & Payouts, that matches the student's refund window. A charge refunded or charged back inside it pays nothing. Once a commission has cleared, we do not take it back, except where the sale was fraudulent.
- Payouts, methods and taxes. Set out in Affiliate Commission & Payouts. What we pay you is yours to declare, and every tax on it, wherever you are, is yours to pay.
7. How you promote
The Affiliate Marketing Guidelines are the operative rules for your promotion, and breaking them is breaking this agreement. In short, you must:
- say that you earn commission wherever your link appears, in a way a reader cannot miss;
- send no spam and no unsolicited bulk messages, and never place your link where you have no right to post;
- buy no search advertising on ACADA's name or marks, and register no domain, handle or page name that reads as ours;
- claim nothing that is not true: no promised results or income, no "official" or "partner" status, and nothing about a course its instructor does not say themselves;
- refer only real people who chose to join: not yourself, your own other accounts, your household, or accounts made to earn commission;
- use no forced clicks, hidden links, cookie stuffing, iframes or redirects that set a referral without a genuine click;
- promote on no page or channel that carries content our policies prohibit;
- and never present yourself as ACADA, or as speaking for us.
You are responsible for your channels and for complying with the advertising, marketing and privacy laws that apply where you promote, including the endorsement rules of the United States Federal Trade Commission and their equivalents elsewhere.
8. Our name and marks
While this agreement lasts, you may use the ACADA name, logo and the public listings of courses to say that you promote ACADA, on the terms in the Trademark policy: as they are, unaltered, and never in a way that suggests we made your content or endorsed you. This licence is non-exclusive, carries no fee, can be withdrawn by us on notice, and ends when this agreement ends.
9. Independence and data
- You are independent. You are not our employee, agent, partner or franchisee, you cannot make commitments on our behalf, and we do not direct how or where you promote. This agreement is not exclusive: you may promote anything else you like.
- What you see. Your dashboard shows the courses you are credited on, what each has earned you, your commissions and their status, and your payouts. It does not name your buyers at all: a sale is recorded against a course, not against a person you can see.
- What you may do with it. Nothing beyond running your promotion. You are not given anything that identifies a buyer, and you may not build a list, approach anybody, or sell or share what the dashboard shows you.
10. Ending this agreement yourself
You can leave the programme from Settings at any time. Your links and your code stop crediting you at once, and renewals of sales you already made stop earning while you are out, which is worth knowing before you go. What you have earned is paid with no minimum once you have a payout method set up: what has cleared on the next daily run, and what is still in its hold as it clears. You can rejoin later, keeping the same code, which is accepting the agreement current at that time; renewals of your earlier sales then pay you again, from the next one.
11. Ending it by us
If you break this agreement or a policy it includes, we follow the steps in the Account Enforcement & Appeals policy: a written warning, then restrictions, then closure of your affiliate account. We close it at once for fraud: referring yourself or accounts made to earn commission, purchases with stolen or disputed payment details, manufactured clicks, or misrepresenting who you are. While your account is blocked or closed, your links refer nobody and nothing further is earned, on new or existing referrals. While it is blocked, payouts wait until the block is lifted or the account is closed. On closure for a breach, commissions that have cleared are still paid, and those still in their hold as they clear. On closure for fraud, commissions from fraudulent referrals are withheld, whether or not they had cleared, and whatever those sales cost us is deducted from what is left; while that closure stands, nothing is paid out automatically, and we pay what came from genuine referrals by hand. Every decision can be appealed under that policy.
12. Responsibility and liability
You are responsible for your promotion and for what you say about ACADA and its courses. If someone brings a claim against us because of it, you cover what it costs us to deal with it, including reasonable legal costs, and you help us handle it. We are responsible for the platform and for paying what this agreement says; the limits of our liability to you are set out in the Terms of Service, and nothing here takes away a right the law where you live gives you. After this agreement ends, sections 6, 9, 11 and 12 continue for what happened while it lasted, and any money either side owes the other is still owed.
13. Changes to this agreement
When we change this agreement, we change the date shown at the top. If a change adds an obligation, changes what you are paid, or changes how you may promote, we post a notice in the app at least 14 days before it takes effect and email every affiliate. If you do not accept a change, leave the programme before it takes effect.
14. Governing law and contact
The law that governs this agreement, and how a dispute is resolved, are set out in the Terms of Service. Questions about this agreement go to support@acada.ac.
